These Terms and Conditions of Sale establish the framework governing all quotations, orders, products, and services supplied by Automation Pioneer.

Terms and Conditions of Sale

Welcome to Automation Pioneer Inc. (“Automation Pioneer,” “API,” “we,” “our,” or “us”). By purchasing products or services from Automation Pioneer, you agree to the following Terms and Conditions of Sale.

1. General Terms

All orders placed with Automation Pioneer are subject to these Terms and Conditions. Any additional or conflicting terms contained in a customer’s purchase order or other documents shall not apply unless expressly agreed to in writing by an authorized representative of Automation Pioneer.

Automation Pioneer reserves the right to modify these Terms and Conditions at any time. The latest version will always be available on our website.

Product descriptions, specifications, images, and technical information provided on our website, catalogs, quotations, or marketing materials are intended for general informational purposes only and may be updated without notice.

2. Pricing

All prices are quoted in U.S. Dollars unless otherwise stated.

Prices are subject to change without prior notice and do not include:

  • Sales tax, VAT, duties, or other government charges

  • Installation services

  • Freight, shipping, insurance, or handling charges

Pricing for products not listed on our website will be provided through a written quotation.

3. Orders and Acceptance

Automation Pioneer reserves the right to accept or reject any order at its sole discretion.

Orders are considered accepted only after written confirmation from Automation Pioneer.

Quotations remain valid for fourteen (14) calendar days unless otherwise specified.

We reserve the right to supply updated or replacement versions of products when manufacturers discontinue or supersede original part numbers.

4. Delivery and Lead Times

Published lead times and delivery dates are estimates only and are not guaranteed.

While we make every effort to meet requested delivery schedules, Automation Pioneer shall not be liable for delays caused by manufacturers, freight carriers, customs agencies, supply chain disruptions, force majeure events, or other circumstances beyond our control.

Time shall not be deemed of the essence in any transaction.

5. Inspection and Claims

Customers must inspect all shipments immediately upon receipt.

Any claim for:

  • Shipping damage

  • Missing items

  • Incorrect products

  • Quantity discrepancies

  • Non-delivery

must be submitted in writing within seven (7) days of receipt or scheduled delivery date.

Failure to report such issues within this period constitutes acceptance of the shipment.

6. Payment Terms

Unless otherwise agreed in writing:

Payment Terms: Prepayment Required (Cash with Order).

Automation Pioneer reserves the right to suspend shipments or cancel orders if payment obligations are not satisfied.

7. Transfer of Risk and Ownership

Risk of loss transfers to the customer upon delivery of products to the shipping carrier or customer-designated delivery location.

Title to products remains with Automation Pioneer until full payment has been received.

8. Product Availability

Product availability is subject to manufacturer inventory and supply chain conditions.

Automation Pioneer reserves the right to:

  • Discontinue products

  • Modify specifications

  • Substitute equivalent products

  • Update product versions

without prior notice.

9. Warranty

Unless otherwise specified by the manufacturer, Automation Pioneer warrants products against defects in materials and workmanship for a period of twelve (12) months from the shipment date.

This warranty does not cover:

  • Improper installation

  • Misuse or abuse

  • Unauthorized modifications

  • Improper storage

  • Normal wear and tear

Warranty remedies are limited to:

  • Repair

  • Replacement

  • Refund of purchase price

at Automation Pioneer’s sole discretion.

10. Returns and RMA Authorization

No product may be returned without prior written authorization and issuance of a Return Material Authorization (RMA) number.

Returned products must:

  • Be properly packaged

  • Include original documentation

  • Reference the issued RMA number

Products returned without authorization may be refused and returned at the customer’s expense.

11. Cancellations

Orders may not be cancelled once accepted by Automation Pioneer unless approved in writing.

Approved cancellations may be subject to:

  • Manufacturer cancellation fees

  • Restocking charges

  • Administrative costs

  • Freight expenses already incurred

Custom-built, configured, special-order, and non-stock products are generally non-cancellable and non-returnable.

12. Limitation of Liability

To the maximum extent permitted by law, Automation Pioneer shall not be liable for:

  • Lost profits

  • Business interruption

  • Production downtime

  • Loss of revenue

  • Loss of goodwill

  • Consequential damages

  • Indirect damages

  • Special or punitive damages

Automation Pioneer’s total liability shall never exceed the purchase price of the affected product.

13. Restricted Applications

Products supplied by Automation Pioneer are not intended for:

  • Life-support systems

  • Surgical implants

  • Nuclear facilities

  • Aircraft flight control systems

  • Applications where failure could result in death, personal injury, or catastrophic property damage

Customers assume full responsibility for determining product suitability for their intended application.

14. Force Majeure

Automation Pioneer shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters

  • Labor disputes

  • Transportation disruptions

  • Government actions

  • Supply shortages

  • Pandemics

  • Cybersecurity incidents

If such conditions continue for an extended period, Automation Pioneer may cancel affected orders without liability.

15. Compliance with Laws

Customers are responsible for complying with all applicable local, state, federal, and international laws regarding:

  • Import/export controls

  • Product usage

  • Storage

  • Distribution

  • Sanctions and embargo regulations

16. Shipping Damage and Loss

All shipments are subject to the terms and conditions of the selected freight carrier.

Automation Pioneer will assist customers with freight claims; however, responsibility for transit-related damage or loss rests with the shipping carrier.

Any compensation awarded by the carrier shall constitute the customer’s sole remedy.

17. 30-Day Money-Back Guarantee

For eligible in-stock products, customers may return products within thirty (30) days of purchase for a refund of the purchase price.

Eligibility requirements:

  • Product must be unused

  • Product must be unopened

  • Product must be returned in original packaging

  • Product must include all accessories and documentation

Shipping, handling, restocking, and related fees are non-refundable.

Certain products, including special-order, custom-configured, and non-stock items, are excluded from this guarantee.

18. Shipping Charges for Returns and Warranty Claims

Unless otherwise agreed in writing:

  • Customers are responsible for shipping products to Automation Pioneer.

  • Original outbound freight charges are non-refundable.

  • Customers are responsible for return shipping charges after repair, replacement, or warranty evaluation.

19. Governing Law

These Terms and Conditions shall be governed by the laws of the United States and the State of California, without regard to conflict-of-law principles.

Any disputes arising from the sale of products or services shall be subject to the jurisdiction of the appropriate courts located within California.
